Terms of Service

These Terms of Service govern your access to and use of Taxira, including taxira.pk and the Taxira application. Taxira is operated by UPX LAB (PRIVATE) LIMITED (“Taxira”, “we”, “us”, or “our”).

By creating an account or using Taxira, you agree to these Terms of Service. If you use Taxira on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

If you do not agree to these Terms, you must not use Taxira.

1.About Taxira

Taxira is a software platform designed to help Pakistani tax consultants, accounting firms, and their teams manage practice operations, including clients, compliance obligations, documents, tasks, workflows, billing, and related administrative activities.

Taxira is a software service. It does not replace the professional judgment, advice, review, or responsibility of a tax consultant, accountant, lawyer, or other professional.

2.Eligibility and account registration

You must provide accurate information when creating and maintaining your Taxira account.

You are responsible for:

  • Maintaining the accuracy of your account information.
  • Keeping your login credentials confidential.
  • Maintaining appropriate access controls.
  • All activity conducted through your account that results from your failure to adequately protect your credentials.
  • Notifying Taxira promptly if you suspect unauthorized access.

You must not create an account using false information or impersonate another person or organization.

3.Organization accounts

If you use Taxira on behalf of a firm or organization:

  • The organization is responsible for information entered into its workspace.
  • The organization is responsible for managing its users and permissions.
  • The organization determines which users may access client and business information.
  • Users must only access information they are authorized to access.

The organization may be responsible for ensuring that its use of Taxira complies with its professional, contractual, and legal obligations.

4.Acceptable use

You may use Taxira only for lawful business and professional purposes.

You must not:

  • Use Taxira to violate applicable law or regulation.
  • Attempt to gain unauthorized access to Taxira or another user's account.
  • Circumvent security, authentication, or access controls.
  • Introduce malware, malicious code, or harmful content.
  • Interfere with the operation or availability of Taxira.
  • Reverse engineer or attempt to extract source code except where applicable law expressly permits it.
  • Copy, resell, lease, or commercially exploit Taxira except as expressly permitted by us.
  • Use Taxira to store or transmit information that you do not have the right to use.
  • Abuse the service, infrastructure, or support channels.
  • Use Taxira in a way that could damage the service or other users.

We may restrict or suspend access where reasonably necessary to protect Taxira, its users, or the integrity of the service.

5.Your content and information

You retain ownership of information and content that you or your organization submit to Taxira, subject to the rights necessary for us to operate the service.

You grant Taxira the limited rights necessary to host, store, process, transmit, display, and otherwise handle that information solely to provide, maintain, secure, and improve the service and to comply with applicable legal obligations.

You are responsible for ensuring that you have the necessary rights and permissions to submit information to Taxira.

6.Professional responsibility

Taxira provides tools for managing professional workflows. It does not provide tax, accounting, legal, financial, or other professional advice.

Information displayed by Taxira should be reviewed by the appropriate professional before being relied upon for a filing, compliance decision, client communication, financial decision, or other professional action.

You remain responsible for:

  • Reviewing information entered into the platform.
  • Confirming deadlines and compliance obligations.
  • Reviewing documents and records.
  • Ensuring filings and submissions are accurate.
  • Making professional judgments.
  • Meeting obligations applicable to your clients and organization.

Taxira does not guarantee that the use of the platform will prevent missed deadlines, filing errors, compliance issues, penalties, or other professional or business outcomes.

7.Subscriptions and payment

Taxira may offer paid subscription plans described on the Taxira pricing page.

Unless otherwise stated:

  • New customers receive a 14-day trial with full access.
  • No payment card is required to start the trial.
  • The trial does not automatically result in a charge when it ends.
  • Continued access after the trial may require activation of an applicable paid plan.
  • Subscription fees are payable according to the applicable plan and payment instructions provided by Taxira.

Where bank transfer is offered, access to a paid plan may be activated after the applicable payment has been received and confirmed.

Prices, included limits, and plan features may change in accordance with the applicable commercial terms presented to customers.

8.Suspension and termination

You may stop using Taxira at any time.

We may suspend or terminate access where reasonably necessary if:

  • You materially breach these Terms.
  • Your use creates a security or operational risk.
  • You engage in unlawful or abusive activity.
  • Payment obligations remain unresolved where applicable.
  • We are required to do so by law.
  • Continued access would materially threaten the service or other users.

Where reasonably practicable, we will provide notice before suspension or termination unless immediate action is necessary for security, legal, or operational reasons.

9.Data after termination

Following termination, information associated with an organization may remain available for a limited period where necessary for account administration, legal obligations, dispute resolution, security, backups, or other legitimate operational purposes.

Deletion requests and applicable retention requirements may affect when information is permanently removed.

The applicable organization remains responsible for retaining any records it is legally or professionally required to retain.

10.Availability and changes to the service

We aim to operate Taxira reliably, but we do not guarantee that the service will always be uninterrupted, error-free, or available.

Taxira may occasionally be unavailable because of maintenance, updates, infrastructure failures, security incidents, network problems, third-party service failures, or events outside our reasonable control.

We may modify, improve, replace, or discontinue features of Taxira over time.

11.Intellectual property

Taxira and its software, interfaces, designs, documentation, branding, trademarks, logos, and other proprietary materials are owned by or licensed to Taxira and are protected by applicable intellectual property laws.

These Terms do not transfer ownership of Taxira intellectual property to you.

You receive only the rights necessary to use the service in accordance with these Terms.

12.Feedback

If you provide suggestions, ideas, or feedback about Taxira, you grant us permission to use that feedback without restriction or compensation, provided that doing so does not disclose your confidential information or customer content.

13.Confidentiality

Each party may receive confidential information from the other in connection with the service.

Each party agrees to use reasonable care to protect confidential information and to use it only for the purposes for which it was disclosed.

Confidential information does not include information that is publicly available, independently developed, lawfully received from another source, or required to be disclosed by law.

14.Third-party services

Taxira may depend on third-party infrastructure, software, communications providers, payment services, hosting services, storage services, or other providers.

Third-party services may be subject to their own terms and policies.

We are not responsible for services that are independently operated by third parties.

15.Disclaimers

To the extent permitted by applicable law, Taxira is provided on an "as available" basis.

We do not warrant that:

  • Taxira will meet every particular business requirement.
  • The service will always be uninterrupted or error-free.
  • Information entered or generated through the platform will always be complete or accurate.
  • Use of Taxira will produce a particular tax, financial, compliance, or business outcome.

Taxira is a software tool and should be used together with appropriate professional review and judgment.

16.Limitation of liability

To the maximum extent permitted by applicable law, Taxira will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or anticipated savings arising from or related to your use of the service.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

17.Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold Taxira and its officers, employees, and service providers harmless from claims, liabilities, damages, losses, and reasonable expenses arising from:

  • Your breach of these Terms.
  • Your unlawful use of Taxira.
  • Your violation of another person's rights.
  • Content or information submitted through your account.
  • Your failure to obtain appropriate authorization to use or submit information.

18.Changes to these Terms

We may update these Terms from time to time.

When material changes are made, we may update the effective date shown at the beginning of the Terms and provide additional notice where appropriate.

Your continued use of Taxira after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

19.Governing law

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles, except to the extent that applicable law requires otherwise.

Any dispute arising from or relating to these Terms or your use of Taxira will be subject to the jurisdiction of the courts having appropriate jurisdiction under applicable law.
